Terms and Conditions

These General Terms of Service (the "Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Instal S.r.l., a company with registered office at Via del Tiratoio 1, 50124 Firenze, Italy, VAT number and tax code 06681730484 ("Instal", "we", "us", or "our"), regarding your use of the LivingLocal website at https://livinglocal.ai and any related services, applications, or platforms operated under the LivingLocal brand ("Site").

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. Instal reserves the right to update, modify, or replace any part of these Terms at any time. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes. If you do not agree to these Terms, you must immediately cease all use of the Site.

LivingLocal is a discovery catalogue of tours, activities and experiences, currently covering destinations in Italy and Puerto Rico. The service provided (the "Service") consists of:

• Curation: a data-driven selection of destinations, tours and activities, organised into themed and geographic collections.
• Information: descriptions, practical details, photographs, traveller reviews and editorial content about those experiences, together with search, a preference quiz and an AI assistant to help you find them.
• Redirection: links that take you to the third-party platform where the experience is actually sold — today GetYourGuide, Headout and Viator/Tripadvisor.

LivingLocal is an informational and curation hub. It is not a travel agency, a tour operator, or a direct provider of activities, lodging or transportation, and no booking or payment takes place on this Site. All bookings and transactions are handled externally by third-party providers. The Service is provided "as is" and "as available," and we do not guarantee that any specific destination or experience will remain available or unchanged.

By using the Site, you affirm that you are at least 18 years of age and possess the legal authority to create a binding legal obligation. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Furthermore, you represent and warrant that you are not a person barred from receiving services under the laws of Italy, your country of residence, or any other applicable jurisdiction. If we have reason to believe you do not meet these requirements, we reserve the right to terminate your access to the Service without notice.

Instal reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time. It is your responsibility to check these Terms periodically for changes.

The most current version of the Terms will be posted on the Site. Your continued use of the Site following the posting of any changes to the Terms constitutes acceptance of those modifications. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect; however, what constitutes a material change will be determined at our sole discretion.

You acknowledge and agree that the form and nature of the Service which Instal provides may change from time to time without prior notice to you.

These changes may include, but are not limited to, the addition or removal of specific features, travel destinations, or curated collections. Furthermore, Instal may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally at Instal's sole discretion, without prior notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

LivingLocal provides curated information about, and links to, third-party platforms and providers — principally GetYourGuide, Headout and Viator/Tripadvisor, and through them the local operators who actually run each experience. You acknowledge and agree that:

• No Control: Instal has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
• No Endorsement: The inclusion of any curated experience or link does not imply endorsement by Instal of the provider or the quality of their service.
• Direct Relationship: Any transactions, bookings, or interactions made with third parties found through the Service are solely between you and such third party.
• Limitation of Liability: Instal shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party web sites or services.

There is nothing to sign up for on this Site: it has no user account, no login and no password, and you can use every part of it without registering. The following limits nevertheless apply to your use of it.

• Prohibited Use: You agree not to use the Site for any unauthorized or illegal purpose.
• No-Scraping Policy: You are strictly prohibited from using any automated system, including "robots," "spiders," "scripts," or "offline readers," to access, monitor, or copy any content or data from the Site for any purpose without Instal's express written permission.
• Content Integrity: You may not attempt to interfere with the proper working of the Site or bypass any measures used to prevent or restrict access to the Service. This includes the limits we place on the AI assistant to keep it available to everyone.

LivingLocal acts exclusively as a technological aggregator and curator of information. Instal does not provide, own, or control any of the travel services, accommodations, or transportation units that you may discover through the Site.

• Service "As-Is": The Service is provided on an "as-is" and "as-available" basis. We do not warrant that the information curated (prices, availability, descriptions) is always accurate or exhaustive.
• Travel Risks: Instal, its directors, and employees shall not be liable for any direct, indirect, or consequential loss or damage arising from your travel. This includes, but is not limited to: personal injury, illness, death, property damage, travel delays, or cancellations caused by third-party providers.
• Provider Performance: Any issues regarding the quality or execution of a travel experience must be resolved directly with the third-party provider. Instal assumes no responsibility for the provider's failure to perform or for any dispute between you and the provider.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including your mandatory rights as a consumer under Italian and EU law.

• Free Access: Access to and use of the LivingLocal platform is free for Users. We do not charge you a fee for browsing or using our curation tools.
• Third-Party Transactions: LivingLocal operates on a redirection model. When you decide to book a service, you are redirected to a third-party website — GetYourGuide, Headout or Viator/Tripadvisor. Any payment, transaction, or financial commitment is made directly with that third party and is subject to their specific terms and conditions.
• No Direct Refunds: Because Instal does not process payments for travel services, we do not issue refunds. Any request for a refund, compensation, or modification of a booking must be directed exclusively to the third-party service provider. Instal is not responsible for the financial policies or refunding capabilities of its partners.

LivingLocal earns a commission when you book through the links on this Site. The booking links to GetYourGuide, Headout and Viator/Tripadvisor carry an identifier that tells the partner the referral came from us, and they are marked as sponsored. This costs you nothing extra — the price you pay is the partner's own price. These affiliate partnerships are what fund a site that is free to use.

The curated content on LivingLocal, including descriptions, availability, and pricing, is based on data provided by third parties or processed through proprietary algorithms. You acknowledge and agree that:

• Data Lag: Travel information changes in real-time and may be subject to synchronization delays.
• Final Pricing: The final price and availability are only those confirmed on the third-party provider's website at the time of your booking.
• Tech-Driven Content: Content curated or generated via technological means, including the replies of the AI assistant, may contain errors or omissions. LivingLocal does not warrant the absolute accuracy or completeness of any information displayed on the Site.

Travel involves inherent risks, including but not limited to health crises, political instability, adverse weather, or natural disasters ("Force Majeure").

• User Responsibility: It is the User's sole responsibility to verify travel advisories, visa requirements, and local safety conditions before embarking on a trip.
• No Liability: Instal shall not be held liable for any travel disruptions, safety issues, or cancellations arising from Force Majeure events or any local circumstances at the destinations curated on the Site.

Instal respects the intellectual property rights of others. If you believe that any material on the Site (including images, text, or logos) infringes upon your copyright, notify us at legal@instal.com. Your notification must include:

1. A description of the copyrighted work you claim has been infringed.
2. The exact URL or location on the Site where the material is located.
3. Your contact information (name, email, and address).

Upon receipt of a valid notice, we will act expeditiously to investigate and, if necessary, remove the infringing content. If instead you want a review that names you removed, that is a data protection request — see the Privacy Policy.

All rights, titles, and interests in and to the Service and the Site, including but not limited to the LivingLocal brand, logos, designs, text, graphics, proprietary algorithms, data-driven curation methods, and software, are and will remain the exclusive property of Instal S.r.l. and its licensors.

• Trademarks: The "LivingLocal" name and logo are trademarks of Instal. You may not use them without our prior written consent.
• Limited License: Instal grants you a personal, non-exclusive, non-transferable, and revocable license to access and use the Site for personal, non-commercial purposes only.
• Protection of Curation: You acknowledge that the selection, coordination, and arrangement of destinations and experiences on the Site constitute a protected intellectual work. Any unauthorized extraction, reproduction, or use of this curated data is strictly prohibited and will be prosecuted under applicable intellectual property laws.

• Duration: These Terms remain in full force and effect while you use the Service.
• Termination by you: You may stop using the Service at any time, simply by leaving the Site. Because there is no account, there is nothing to close and nothing of yours for us to delete. If you have accepted cookies you can withdraw that at any time with Cookie settings.
• Termination by Instal: We reserve the right to suspend or terminate your access to the Service (or any part thereof) at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms.
• Survival: Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

• Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Language: These Terms are drafted in English. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.

Your use of the Service is governed by our Privacy Policy and Cookie Policy, which set out exactly what is processed, on what legal basis, who receives it, how long it is kept and what you can require of us. You can change or withdraw your cookie choice at any time with Cookie settings.

These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of Italy.

If you are a consumer — that is, if you are using the Site for purposes outside your trade, business or profession — the courts of the place where you are domiciled or resident have jurisdiction, in accordance with applicable consumer protection law, and you keep the protection of any mandatory rules of the country you live in. Nothing here requires you to litigate in Florence.

In all other cases, the Court of Florence (Italy) has exclusive jurisdiction over any controversy involving or deriving from these Terms or their performance.
